These Terms of Service (the “Terms”) govern your access to and use of the website located at www.hotmeltsupplyco.com (the “Site”) and the products, services, and content we make available through it (collectively, the “Services”). The Site and Services are operated by Hot Melt Supply Co LLC, doing business as Hot Melt Supply Company (“HMSC,” “we,” “us,” or “our”).
By accessing or using the Site, placing an order, or creating an account, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, please do not use the Site or Services.
HMSC is a supplier of replacement parts and equipment for hot-melt adhesive application systems. We supply aftermarket and replacement components compatible with equipment manufactured by Nordson Corporation and other original equipment manufacturers (“OEMs”). HMSC is an independent supplier and is not affiliated with, endorsed by, or sponsored by Nordson Corporation or any other OEM. References to OEM names, part numbers, or trademarks are for identification and cross-reference purposes only and remain the property of their respective owners.
The Site and Services are intended for businesses and individuals who are at least 18 years old and able to form legally binding contracts. By using the Site, you represent that you meet these requirements and that any information you provide is accurate and complete.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own commercial or personal purchasing purposes. You agree not to:
Some features require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
We work to describe and price products accurately, but we do not warrant that product descriptions, images, specifications, cross-references, pricing, or other content are error-free, complete, or current. Products are subject to availability. We reserve the right to correct errors, change or update information, and to modify or discontinue products at any time without notice. In the event of a pricing or description error, we reserve the right to cancel or refuse any order placed for the affected product, including after an order has been submitted.
Your submission of an order constitutes an offer to purchase. All orders are subject to acceptance by us, and we may accept or decline an order for any lawful reason. A contract is formed only when we confirm acceptance of your order or ship the product. Prices are in U.S. dollars unless otherwise stated and are exclusive of taxes, shipping, and handling unless stated otherwise. You are responsible for all applicable taxes and duties. Payment must be received or authorized before we ship, unless we have agreed to other terms in writing.
Shipping times are estimates and not guarantees. Risk of loss passes to you upon our delivery to the carrier unless otherwise agreed. Returns, exchanges, and any product warranties are governed by the policies and warranty terms provided with your order or on the Site; where a manufacturer's warranty applies, it is provided by the applicable manufacturer and not by HMSC. Except as expressly stated in a written warranty, products are provided without warranty as described in Section 10.
The Site and its content—including text, graphics, logos, images, and the selection and arrangement thereof—are owned by HMSC or its licensors and are protected by intellectual property laws. Except for the limited license in Section 3, no rights are granted to you. The “Hot Melt Supply Company” and “HMSC” names and logos may not be used without our prior written permission. All other trademarks are the property of their respective owners.
We use third-party service providers to operate our business, which may include, without limitation, payment processors, shipping carriers, hosting and cloud providers, and accounting and business-management platforms such as Intuit QuickBooks. Information you provide to us may be processed by these providers to fulfill orders and operate our business, as described in our Privacy Policy. The Site may also contain links to third-party websites that we do not control; we are not responsible for their content, products, or privacy practices, and your use of them is at your own risk and subject to their terms.
EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY, THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOU ARE RESPONSIBLE FOR DETERMINING THAT ANY PART IS SUITABLE AND COMPATIBLE FOR YOUR APPLICATION BEFORE PURCHASE AND USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HMSC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, SERVICES, OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless HMSC and its officers, members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Site or Services, your violation of these Terms, or your violation of any law or the rights of a third party.
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect information. Please review it to understand our practices.
We may update these Terms from time to time. The “Effective date” above indicates when the Terms were last revised. Changes are effective when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of the State of Georgia, U.S.A., without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Georgia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Services, and you consent to personal jurisdiction and venue in those courts.
